General Terms and Conditions for Suppliers of eventfirst
1. General provisions / Legal basis:
1.1 Taskwise GmbH, Rosenthaler Str. 36, 10178 Berlin, trading under the name eventfirst (hereinafter referred to as “eventfirst”), organizes events, trade fairs, congresses, team offsites, and other group events (hereinafter referred to collectively as “events”) on behalf of eventfirst's customers. The supplier is a company that provides services for the execution of the event (rooms, catering, event services, etc.) within the scope of the event (hereinafter referred to as “Supplier”). 1.2 Insofar as eventfirst does not expressly organize and host the event in its own name, eventfirst merely provides organizational and agency services between the respective customer of eventfirst for the event and the Supplier. Within the scope of its agency services, eventfirst is authorized by the customer to conclude and execute the contract. 1.3 The entire contractual and legal relationship between eventfirst or the mediated customer and the Supplier shall be governed primarily by the information contained in the respective order confirmation from eventfirst (based on the information provided by the Supplier in the registration form), any other written agreements between the parties, these general terms and conditions of offer, and, in all other respects, exclusively by German law. 1.4 The Supplier's general terms and conditions shall not apply if they contradict these Terms and Conditions of Offer, even if they have been declared applicable by the Supplier and even if eventfirst does not expressly object to them in general or in individual cases. 1.5 Any agreements between eventfirst or the customer and the supplier that deviate from these general terms and conditions of offer shall only apply if they have been expressly agreed in writing between the parties. Any verbal side agreements shall have no effect. 1.6 The following general terms and conditions of offer of eventfirst shall also apply in their current version to future business relationships between the exhibitor and eventfirst, even if they have not been expressly agreed again or declared applicable by eventfirst.
2. Binding period; conclusion of the contractual relationship:
2.1 The Supplier is bound to its offer for 14 days after receipt by eventfirst; eventfirst may accept the offer at any time within this binding period. 2.2 The contract is concluded on the basis of these terms and conditions of offer upon receipt of the order confirmation (declaration of acceptance) by eventfirst at the Supplier's premises. 2.3 If the content of the order confirmation differs from the content of the offer, this constitutes a new offer from eventfirst. The contract is concluded on the basis of this new offer, unless the Supplier objects to this offer in writing to eventfirst within 10 working days of receipt.
3. Prices / Commission; Subsequent changes to services:
3.1 The prices offered by the Supplier must include the commission for eventfirst specified in the request for quotation; if a commission is not expressly specified in the request for quotation, a commission of 15% of the total price shall be deemed to have been agreed. 3.2 Subsequent changes to the services cannot be made unilaterally by the Supplier, unless this becomes necessary for reasons beyond the Supplier's control and is reasonable for eventfirst or the customer. 3.3 The Supplier undertakes to offer Taskwise prices at all times that are at least as favorable as the prices it offers for identical or comparable services to other distribution partners, platforms, or end customers.
4. Terms of payment / Advance payments / Offsetting / Right of retention:
4.1 Unless otherwise expressly agreed in writing by eventfirst, the agreed remuneration shall be payable in full upon invoicing only after the service has been rendered in full. The statutory provisions governing default of payment shall apply. 4.2 The Supplier is only entitled to demand advance payments if this has been expressly confirmed by eventfirst for the specific offer. 4.3 Payments by bill of exchange or check shall not be recognized as fulfillment of the payment obligation. 4.4 Offsetting against counterclaims of the Supplier is excluded, unless the claim has been legally established, is undisputed, or has been recognized by eventfirst. Furthermore, Suppliers are only entitled to exercise a right of retention if a counterclaim by the Supplier is based on the same contractual relationship and has been legally established or is undisputed or has been recognized by eventfirst.
5. Termination and withdrawal by eventfirst:
5.1 eventfirst is entitled to withdraw from the contract with the Supplier free of charge up to 4 weeks before the start of the event. 5.2 Without prejudice to further legal rights, eventfirst is entitled to terminate this contract if there are important reasons that make the performance of the contract unreasonable. An important reason shall be deemed to exist in particular if a) despite a warning and the setting of a grace period, the Supplier has either failed to make the payments (remuneration, security deposit) to be made by it in a timely manner or has failed to fulfill other contractual obligations, b) the Supplier is insolvent or insolvency proceedings have been opened against it and no performance guarantee has been issued by an insolvency administrator, c) the Supplier fails to fulfill its essential contractual obligations at the request of eventfirst. In these cases, a warning with a grace period is not required. 5.3 The withdrawal must be declared to the Supplier without delay. 5.4 The assertion of claims for damages due to non-performance remains unaffected.
6. Eventfirst's house rules during the event:
eventfirst exercises extended domiciliary rights during the event. The instructions of eventfirst's authorized representatives must be followed without exception.
7. Access cards:
eventfirst reserves the right to control access to the event by means of supplier ID cards. In this case, only these ID cards entitle the holder to access the event area during the event. The free ID cards will be issued by eventfirst to the respective suppliers in good time before the event. The supplier is responsible for ensuring that all employees carry the appropriate ID cards with them.
8. Cleaning after service provision:
8.1 eventfirst is responsible for organizing the general cleaning of the event location. However, cleaning and waste disposal in connection with the services provided by the Supplier is the sole responsibility of the Supplier. 8.2 In the event that waste or other items are left behind by the Supplier after the end of the event, eventfirst is entitled to remove and dispose of them at the Supplier's expense.
9. Liability and indemnification obligation of the Supplier:
9.1 The Supplier shall be liable for all damages caused by it, its vicarious agents or other third parties within the meaning of Sections 278 and 831 of the German Civil Code (BGB) in connection with the Event, in accordance with the statutory provisions. The application of Section 831 (1) sentence 2 BGB is excluded for both parties. 9.2 The Supplier shall be liable for the complete return of the equipment, keys, access cards, and facilities provided for use. 9.3 The Supplier shall be liable for any items brought in by the Supplier and its employees. 9.4 The Supplier shall indemnify eventfirst against all claims by third parties asserted in connection with the Event, insofar as these arise from a breach of its legal obligations or its obligations under this contract or are attributable to it, its vicarious agents, or its assistants. This indemnification obligation therefore extends in particular to claims by third parties based on fault as well as possible violations of the law and infringements of third-party rights on the part of the Supplier or persons whose actions are attributable to the Supplier in accordance with the above provisions and which are asserted against eventfirst as the organizer of the event in connection with the event. It also applies to administrative fines and administrative offenses (e.g., for disturbing the peace, blocking emergency routes, disregarding smoking bans) imposed on eventfirst due to misconduct on the part of the Supplier or persons whose conduct is attributable to the Supplier in accordance with the above provisions. 9.5 The Supplier's indemnification obligation pursuant to Section 9.4 also extends to all expenses, in particular legal defense costs, incurred by eventfirst arising from or in connection with claims by third parties for the reasons stated above.
10. Liability and indemnification obligation of the Supplier:
10.1 eventfirst shall not be liable for damages caused by its own slight negligence or that of its vicarious agents, unless this constitutes a breach of its essential contractual obligations. 10.2 In cases of simple negligence, eventfirst's liability shall be limited to the foreseeable, contractually typical, direct average damage. 10.3 The above exclusions and limitations of liability shall not apply if eventfirst is mandatorily liable under statutory provisions, in particular in the event of culpable injury to life, limb, or health of persons.
11. Final provisions:
11.1 If there are several Suppliers, they shall authorize each other to make declarations that are binding on all of them, to be made on behalf of all of them and to be accepted with effect for all of them. This does not apply to declarations of termination. Facts relating to a Supplier that establish rights for eventfirst grant the same rights to all Suppliers. 11.2 The registered office of eventfirst is the place of performance and jurisdiction, the latter only if the Supplier is a merchant or a legal entity under public law and has no general place of jurisdiction in Germany. 11.3 The contractual relationship is subject to the law of the Federal Republic of Germany.
